Terms of Service

These Terms of Service (“Agreement” or “Terms”) govern access to and use of the survey operations middleware, routing APIs, administrative console, and associated documentation (collectively, the “Services”) provided by VioraBridge LLC (“VioraBridge”, “we”, “us”, or “our”) to the customer organization (“Customer”, “Tenant”, or “you”) executing an Order Form or establishing an account.

1. Definitions

  • “Services”: The VioraBridge software-as-a-service middleware, redirect routing infrastructure, custom domain routing handlers, administrative dashboards, and API interfaces.
  • “Customer Data”: All study configurations, project routing rules, rate matrices, survey endpoints, and administrative user profile data uploaded or submitted by Customer.
  • “Respondent Data”: Temporary technical telemetry and non-identifiable session parameters generated when survey participants navigate through routing endpoints.
  • “Order Form”: An executed order schedule, subscription agreement, or online registration selecting a subscription plan, rate structure, or seat count.

2. Platform Purpose & Service Boundaries

VioraBridge provides infrastructure middleware that routes respondent traffic between third-party sample providers and third-party survey platforms. VioraBridge is not a sample broker, market research panel provider, or survey programming author. VioraBridge does not generate, fulfill, or manage respondent financial incentives or survey compensation programs.

3. Acceptable Use Policy & Compliance Restrictions

Customer agrees to use the Services strictly for lawful survey operations and panel routing. Customer shall not, nor permit any third party or authorized user seat to:

  • Routing Abuse & Loop Injection: Configure routing pathways that cause infinite redirection loops, click farms, or artificial entry hits.
  • Fraud & Link Harvesting: Scrape client survey URLs, manipulate tracking parameters, falsify completion metrics, or redirect unauthorized respondent traffic.
  • Unlawful Data Collection: Use the Services to harvest unencrypted sensitive personal information, payment credentials, or government identification numbers in violation of applicable data protection laws.
  • Malicious Content: Route traffic to survey endpoints containing malware, phishing scripts, or deceptive content.

4. Account Credentials & Seat Security

Customer is responsible for maintaining the confidentiality of administrative login credentials, API keys, and authorized user seats. Customer assumes full responsibility for all activities, study modifications, and data exports occurring under Customer's account.

5. Intellectual Property Rights

VioraBridge Ownership: VioraBridge retains all right, title, and interest in and to the Services, software code, routing algorithms, database schemas, APIs, trademarks, documentation, and any derivative works or feedback provided by Customer.

Customer Ownership: Customer retains all right, title, and interest in and to Customer Data and study configurations. Customer grants VioraBridge a limited, non-exclusive license to host, route, and process Customer Data solely as necessary to provide the Services.

6. Confidentiality

Each party agrees to maintain in strict confidence all non-public information disclosed by the other party (“Confidential Information”), including study parameters, rate matrices, security settings, and trade secrets. Confidential Information shall not be disclosed to third parties except to employees, contractors, or legal advisors with a strict need to know and who are bound by confidentiality obligations no less restrictive than those set forth herein.

7. Subscription Terms, Invoicing & Suspension

Fees, billing frequencies, and payment terms are governed by the applicable Order Form or active subscription plan.

  • Invoicing & Payment: Invoices are issued pursuant to agreed billing schedules. Customer shall pay all undisputed fees within the payment terms specified in the Order Form.
  • Grace Period & Suspension: If an invoice remains unpaid past its due date, VioraBridge will provide written notice and a grace period (default 14 days, or as specified in Customer's agreement). Upon expiration of the grace period without payment, VioraBridge reserves the right to suspend routing endpoints and administrative account access.

8. Termination Rights

Either party may terminate an Order Form or subscription for cause upon thirty (30) days' written notice if the other party materially breaches these Terms and fails to cure such breach within the notice period. VioraBridge reserves the right to terminate access or suspend Services immediately upon written notice for material breach of Section 3 (Acceptable Use), illegal activity, cyberattack threats, or non-payment following expiration of applicable grace periods. Upon termination, all licenses granted hereunder immediately cease.

9. Free Trial Accounts

If Customer registers for a free trial, access is provided solely for evaluation purposes for a period of up to 30 days. VioraBridge reserves the right to terminate trial accounts at any time without liability and to erase data associated with un-converted trial workspaces following trial expiration.

10. Service Availability & Warranties Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. VIORABRIDGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VIORABRIDGE DOES NOT WARRANT THAT THIRD-PARTY SURVEY PLATFORMS OR SAMPLE PROVIDER ENDPOINTS WILL REMAIN UNINTERRUPTED OR ERROR-FREE.

11. Financial Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VIORABRIDGE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES EXCEED THE TOTAL FEES PAID BY CUSTOMER TO VIORABRIDGE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR DATA.

12. Customer Indemnification

Customer agrees to defend, indemnify, and hold harmless VioraBridge, its officers, directors, and employees from and against any third-party claims, losses, liabilities, or expenses (including reasonable attorney fees) arising out of or related to: (a) Customer Data or survey content; (b) Customer's breach of Section 3 (Acceptable Use); or (c) Customer's violation of applicable data protection or consumer privacy regulations.

13. Compliance with Laws & Sanctions

Customer represents and warrants that it shall comply with all applicable local, state, federal, and international laws, privacy regulations, and industry codes of conduct. Customer represents and warrants that it is not subject to trade sanctions or export restrictions and will not use or export the Services in violation of applicable U.S. or international trade controls.

14. Force Majeure

Neither party shall be liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, acts of government, cyberattacks, failure of third-party cloud infrastructure, internet service provider outages, or major telecommunication disruptions.

15. Independent Contractors

Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between the parties. VioraBridge and Customer are independent contractors.

16. Assignment

Customer may not assign or transfer these Terms or any rights hereunder without VioraBridge's prior written consent. VioraBridge may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of substantially all platform assets.

17. Survival

Sections 5 (Intellectual Property), 6 (Confidentiality), 7 (Payment Obligations), 10 (Limitation of Liability), 11 (Indemnification), 18 (Governing Law), and 19 (Entire Agreement) shall survive any termination or expiration of these Terms.

18. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, USA, without regard to conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the state or federal courts located in the State of New Jersey.

19. Entire Agreement & Severability

These Terms, together with any executed Order Form and Privacy Notice, constitute the entire agreement between the parties concerning the Services and supersede all prior communications or discussions. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
